Terms and Conditions of Submission
1. Submission of Footage: By submitting footage of yourself playing the Pete Murray song Saving Grace (Footage) to YouTube as an entry to the competition (Competition) you acknowledge your acceptance of these terms and conditions of use (Terms). If you do not agree to any of these Terms, then please do not submit Footage. The only way to enter this competition is by uploading a video via YouTube. Video submissions will open at 0:00 AEST on Thursday 17 July 2008 and will close at 11:59pm AEST on Thursday, 21 August 2008.
2. Selection of Winners: Representatives from the Promoter, in consultation with Pete Murray, will select one winner based on the quality of the performance of each submission.
The winner will be selected by 5:00pm AEST on Thursday, 4 September 2008. The winner will receive a Cole Clark guitar autographed by Pete Murray.
The maximum value of this prize pool is valued at A$500. The prize winner is only entitled to the prize outlined above and is not entitled to additional prizing or cash reimbursement to compensate for any difference in actual prize redemption cost and approximate maximum value.
3. Notification of Winners: The winner will be announced by Pete Murray via a video on the Youtube Competition website by 6:00pm AEST on Thursday 4 September 2008 (Winner Notification) and the name of the winner will be posted on the Youtube Competition website and the Pete Murray website. The winner will also be contacted via their Youtube account to arrange for delivery of the prize. The Promoter�??s decision in relation to any aspects of the Competition is final and binding on every person who enters and no correspondence will be entered into. If the winner is not contactable by the Promoter using reasonable efforts within 28 days of 4 September 2008 the Promoter reserves the right to select a new winner and award the prize to that person.
4. Prizes Not Transferable: The prize is not transferable, and can not be exchanged or be taken as cash. There will be no compensation or alternative prize if the winner cannot receive the prize in the manner specified for any reason and in that event the Promoter reserves the right to award the prize to another entrant. The prize values are correct at the time of printing and the Promoter accepts no responsibility for any variation.
5. Licence to the Promoter: You agree that the Promoter may make the Footage available in any other media, whether now known or invented in the future, which may include other internet sites, television and/or radio and that the Footage may be made available with advertising or sponsorship. You now grant the Promoter a worldwide, non-exclusive, perpetual, royalty-free, transferable licence to use, display, publish, transmit, broadcast, reproduce, communicate to the public, copy, edit, alter, store, re-format and sub-licence the Footage.
You also grant the Promoter the right to issue publicity concerning the Footage and any material, service or program in which it may be included, and for such purpose to use and reproduce your name, likeness, image and/or voice (including any photograph, film and/or recording of you) in any media at any time or times without remuneration.
The Promoter will not be liable to any person for any loss or damage suffered as a result of the rights granted by you to the Promoter, and under this clause 5.
6. Your IP Rights: You agree and guarantee that any Footage you provide is original to you and does not infringe the copyright or any other rights of any other person. You must obtain any consents that are necessary for you to provide the abovementioned licence to the Promoter.
You agree and confirm that no aspect of the Footage provided by you will breach any contract or duty of confidence, be defamatory, obscene, indecent, harassing, threatening, pornographic, liable to incite racial hatred, hateful, offensive or encourage conduct that would be considered a criminal offence, give rise to civil liability, violate any law, constitute a contempt of court or be calculated to bring any broadcaster or other person into disrepute.
You shall be solely responsible for your Footage and the consequences of publishing your Footage. In connection with the Footage, you affirm, represent, and warrant that:
(i) you own or have the necessary licenses, rights, consents, and permissions to use and authorise the Promoter to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all Footage to enable use of the Footage in the manner contemplated by these Terms; and
(ii) you have the written consent, release, and/or permission of each and every identifiable individual person in the Footage to use the name or likeness of each and every such identifiable individual person to enable use of the Footage in the manner contemplated by these Terms.
The Promoter does not, unless agreed with you, claim any rights of ownership in the Footage. Unless you agree otherwise, you retain all ownership rights in the material you submit and so you will still have the right to use your Footage in any way you choose provided that such use does not conflict with or limit the licence granted to the Promoter.
7. Rejection of Content: The Promoter does not promise to broadcast or otherwise make available any Footage. Any Footage may be rejected by the Promoter in its absolute discretion. All decisions are final and the Promoter will not enter into any discussions or correspondence about why any content has been rejected.
The Promoter may, in appropriate circumstances, and in its sole discretion and without any liability whatsoever, remove certain content or disable access to Footage that appears to be legally or otherwise problematic, for example if it infringes the copyright or other intellectual property rights of others, or for any other reason the Promoter decides.
8. Exclusion of Warranties: Under the Trade Practices Act 1974 (Cth) and other statutes there are some warranties and conditions that cannot be excluded, restricted or modified or can only be excluded, restricted or modified to a limited extent. The Promoter excludes all warranties and conditions to the extent allowable by these laws. The Promoter accepts no liability or responsibility of any kind for any defect with the prize nor for any loss or damage whatsoever which is suffered (including, but not limited to indirect or consequential loss) which is suffered or sustained in connection with the Competition or the prize in any way to the fullest extent allowable by law.
9. Cancellation or Suspension: If for any reason the Competition is not capable of running as planned including infection by computer virus, bugs, tampering, unauthorised intervention, fraud, technical failures or any other causes beyond the control of the Promoter which corrupt or affect the administration, security, fairness, integrity or proper conduct of this competition, the Promoter reserves the right in its sole discretion to disqualify any individual who tampers with the entry process and reserves the right without liability to the entrants to cancel, modify, terminate or suspend the Competition. The Promoter does not assume any responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorised access to, or alteration of entries.
10. Technical Issues: The Promoter is not responsible for any problems or technical malfunctions of any telephone network, computer on-line systems, servers, or providers, computer equipment, software, technical problems or traffic congestion on the internet or at any web site, or any combination thereof, including any injury or damage to participants or any other person�??s computer related to or resulting from participation in or downloading or uploading any materials in this Competition.
11. Governing Law: These Terms are governed by the laws in force in New South Wales and you submit to the exclusive jurisdiction of the courts exercising jurisdiction in New South Wales.
12. General: If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of this these Terms shall be deemed a further or continuing waiver of such term or any other term, and the Promoter�??s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
